Terms and Conditions of Use – Metagate WebApp

1. Service Owner
This document governs the terms of use of the platform Metagate WebApp, accessible at the address https://app.themetagate.it, developed by:

2. Access Requirements
The user, at the time of registration, declares to be of legal age (18 years or older)The use of the platform by minors is not allowed.
3. Subject of the Service
The WebApp provides a no-code interface that allows registered users to:
-
Upload digital assets (
.png
,.jpg
,.glb
,.pdf
,.mp3
,.mp4
) in private cloud (Supabase) and use them in experiences in Mixed Reality (MR). -
Connect external content via public Google Drive links to spawn content in MR.
-
Connect Web3 wallet (Metamask, WalletConnect) and display NFT assets through metadata.
-
Create up to 6 custom avatars with iframe ReadyPlayerMe.
-
Associate each avatar with an AI assistant via OpenAI with voice interaction in MR.
-
Subscribe to paid plans via Stripe (Free, Educational, Museum, Business).
-
Monitor (in the future) user MR interactions to improve the experience.
4. Alpha State and Test Program
The WebApp is currently in phase Alpha. Access is granted gratuitously to a limited number of users (Alpha testers) to gather feedback and test the platform.
Metagate does not assume any responsibility for errors, malfunctions, data loss, or interruptions during the use of the Alpha version.
The user voluntarily accepts the risks associated with the experimental nature of the software.
5. User Account
The user is responsible for the safekeeping of access credentials. In case of a breach or unauthorized access, the user must immediately inform Metagate.
The account is personal and non-transferable to third parties.
6. External Content and Third-Party APIs
The user can upload or link assets from external services (Google Drive, NFT, ReadyPlayerMe avatars).
Additionally, some features (e.g., AI assistants) rely on third-party APIs such as OpenAI.
Metagate does not have control on these contents or services and does not assume responsibility for:

non-working or corrupted links
-
illegal, offensive, or violent content
-
incorrect data or temporary inaccessibility
-
automatically generated content by AIs
7. Prohibited Use
is strictly prohibited:
-
upload illegal or copyrighted content without permission
-
use the platform for fraudulent or deceptive purposes
-
bypassing security mechanisms or performing reverse engineering
-
use AI to generate content prohibited by law or by OpenAI's Terms
-
impersonate other users or spam the system
8. Intellectual Property
The software, graphics, structure, and flows of the WebApp are the property of Metagate S.r.l.
The assets uploaded by users remain the property of the users themselves, but the user grants Metagate a limited, non-exclusive, and revocable license for:

show them on the platform
-
make them available in MR
-
associate them with avatars and AI assistants
9. Subscriptions and Payments
The platform offers monthly subscription plans managed by Stripe:

Free – limited access
-
Educational – €15/month
-
Museum – €50/month
-
Business – €200/month
Payment information is processed by Stripe. The user can modify or cancel the plan at any time. Access to premium features ends at the end of the billing cycle.
10. Withdrawal and Suspension
Metagate reserves the right to suspend or cancel the user's account in the event of:
-
violation of these Terms
-
fraudulent or dangerous use of the platform
-
activities that compromise the security, integrity, or stability of the service
11. Service Availability
The WebApp is provided “as it is” (as is). Metagate does not guarantee:
-
continuous and error-free availability
-
compatibility with all devices
-
the absence of bugs or interruptions
12. Limitation of Liability
Under no circumstances shall Metagate be held responsible for:
-
direct or indirect damages resulting from the use of the platform
-
data loss, assets or content
-
user hardware/software malfunctions
-
content generated or uploaded by third parties or by AI
13. Release for Events and Demo Sessions
In the case of using the WebApp in public contexts (events, exhibitions, MR experiences):
-
the user agrees that their interaction may be observed or recorded for demo or UX purposes
-
the user releases Metagate from liability in case of side effects related to the use of the headset (e.g. nausea, disorientation)
14. Indemnity
The user agrees to hold harmless and indemnify Metagate from any claim, damage, loss, or cost arising from:
-
improper use of the platform
-
violation of these Terms
-
illicit or harmful content uploaded by the user
15. Privacy
The processing of personal data is carried out in accordance with EU Regulation 2016/679 (GDPR).

16. Changes to the Terms
Metagate may update these Terms and Conditions at any time. Changes will be communicated via email or platform notification. Continued use of the service implies acceptance of the changes.
17. Competent Court
For any disputes, the exclusive jurisdiction is with the Milan Forum.
18. Acceptance
By registering or using the platform, the user confirms that:

be at least 18 years old

having read and fully accepted these Terms and Conditions
